1. Acceptance of Terms

By accessing or using Nucleus' AI-powered Data Analysis platform (the “Service”), you (“User” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree, you must not use the Service.
1.2 Modifications to Terms
Nucleus may modify or update these Terms at any time. Changes become effective immediately upon posting the revised Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
2. Description of the Service
2.1 General Description
Nucleus provides an AI-powered platform to connect and prompt various cloud-hosted databases. The Service may include—among other features—integration with third-party services, customizable visualization tools, and data analytics.
2.2 Availability
Nucleus endeavors to keep the Service functional and accessible, but does not guarantee uninterrupted, error-free operation. The Service may experience delays or interruptions due to various factors.
3. User Accounts
3.1 Account Creation
To access certain features, you must create an account by providing accurate and up-to-date information. You agree to promptly update this information if it changes.
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify Nucleus immediately if you suspect unauthorized use of your account or any other security breach.
3.3 Account Termination
Nucleus reserves the right to suspend or terminate user accounts at its discretion, including—but not limited to—instances of policy violations or fraudulent activity.
4. Data Privacy and Security
4.1 Compliance with Laws

4.2 Security Measures
Nucleus implements reasonable administrative, technical, and physical safeguards to protect your data. However, no data transmission or storage system is completely secure, and Nucleus cannot guarantee absolute security.
4.3 User Responsibilities
While Nucleus may offer data backup or archival services, you retain ultimate responsibility for maintaining and backing up your data.
5. User Content
5.1 Ownership
Any content, data, or materials (“User Content”) you submit to the Service remains your property. You represent and warrant that you either own or have the necessary rights to use and share this content.
5.2 License to Nucleus
By submitting or uploading User Content, you grant Nucleus a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, store, reproduce, modify, distribute, and display such content for the purpose of operating and improving the Service.
5.3 Content Monitoring
You are responsible for your User Content, including its legality and appropriateness. Nucleus reserves the right (but has no obligation) to remove or disable access to any User Content at its discretion.
6. Intellectual Property
6.1 Service Materials
All text, images, software, and other materials related to the Service (e.g., code, documentation, features, designs) are the proprietary materials of Nucleus or its licensors, protected by intellectual property laws.
6.2 Use of “Clyro” Name
Although “Nucleus” is not a registered trademark, it remains proprietary to Nucleus. You may not use the name “Nucleus,” its logos, or other brand identifiers without our prior written consent.
6.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service or Nucleus may be used by Nucleus without restriction or obligation to you.
7. Prohibited Uses
7.1 Legal Compliance
You agree not to use the Service in a manner that violates any applicable law or regulation, or infringes upon any third-party rights.
7.2 Restrictions
In addition, you will not:
Attempt to circumvent any security features or access any data or systems without explicit authorization.
Reverse engineer, decompile, or disassemble any aspect of the Service.
Upload or introduce any viruses, malware, or other harmful code into the Service.
Interfere with the operation or performance of the Service or other users’ access to the Service.
Use the Service to post or share unlawful, harassing, defamatory, obscene, or otherwise objectionable content.
8. Fees and Payment
8.1 Subscription Plans
Nucleus may offer both free and paid subscription plans. If you opt for a paid plan, you agree to pay the fees associated with the chosen plan, plus any applicable taxes.
8.2 Billing and Payments
By providing a payment method, you authorize Nucleus to charge all fees to that method on a recurring basis, in accordance with your subscription plan’s billing cycle.
8.3 Refund Policy
Unless otherwise stated in a separate written agreement, all fees are non-refundable. However, Nucleus may issue refunds or credits under certain circumstances at its sole discretion.
9. Limitation of Liability
9.1 Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Nucleus disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Exclusion of Damages
To the fullest extent permissible by law, Nucleus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including—but not limited to—loss of profits, data, or business, arising from or related to your use of the Service.
9.3 Liability Cap
If Nucleus is found liable for any claim, the maximum liability shall be limited to the amount paid by you for the Service in the twelve (12) months prior to the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nucleus and its affiliates, officers, directors, employees, and agents from and against any third-party claims, demands, or damages (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, or your breach of these Terms.
11. Modifications to the Service
Nucleus reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. Nucleus shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
12. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York, New York, and you consent to the jurisdiction of these courts.
13. Dispute Resolution
13.1 Informal Attempts
In the event of a dispute, contact Nucleus at support@clyro.ai. We aim to resolve disputes amicably through good-faith discussions.
13.2 Arbitration
If a dispute cannot be resolved within 30 days, it shall be resolved by binding arbitration under the rules of a mutually agreed-upon arbitration service. The arbitration shall take place in New York, New York, in English. The arbitrator’s decision is final and may be enforced by any court with jurisdiction.
13.3 Injunctive Relief
Nothing in these Terms shall prevent either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information in any court of competent jurisdiction.
14. Miscellaneous
14.1 Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices published by Nucleus, constitute the entire agreement between you and Nucleus regarding the Service.
14.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the extent necessary, and the remainder shall remain in full force and effect.
14.3 Waiver
Failure by Nucleus to enforce any right or provision of these Terms does not constitute a waiver of future enforcement of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms without Nucleus' prior written consent. Nucleus may freely assign or transfer these Terms.
14.5 Force Majeure
Nucleus shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, or other force majeure events.
